   Welcome to the Visconti Website. In using the Website, you are deemed to have accepted the Terms and Conditions listed below. Usage of the Website shall be construed as your consent for receiving calls and messages including marketing and promotional calls and messages, auto dialled and/or pre-recorded messages, from Visconti at any time, on the telephone number / contact information that may be provided by you. You hereby unconditionally consent that such communications via SMS, WhatsApp and/ or voice call is (a) upon your request and authorization, (b) ‘transactional’ and not an ‘unsolicited commercial communication’ as per the guidelines of Telecom Regulation Authority of India (TRAI) and (c) in compliance with the relevant guidelines of TRAI or such other authority in India and abroad.

4. YOUR ACCOUNT AND PLACING OF ORDER
   All products and information displayed on the Website constitute an "invitation to order". Your order for purchase constitutes your "order" which shall be subject to written acceptance of the same by Visconti and these Terms and Conditions. If you have supplied Visconti with your email address, Visconti may notify you by email as soon as possible to confirm the receipt of your order and email you again to confirm details and thereafter process the order.
   
   
5. USER ELIGIBILITY
   Use of the Website is available only to a duly constituted legal entity or an adult individual who is competent to contract under the prevailing laws of India.    Registration on the Website is free. Visconti does not charge any fee for browsing on the Website. Visconti may at its sole discretion introduce new Products and modify some or all of the existing Products offered on the Website. In such an event, Visconti reserves the right to introduce fees for the new Products offered or amend/introduce fees for existing Products, as the case may be. Changes to the fee policies shall be posted on the Website and such changes shall automatically become effective immediately after they are posted on the Website.

The Products, or samples thereof, which you may receive from Visconti, shall not be sold or resold for any/commercial reasons.
   
   In case any Products purchased or received causes side effects or doesn’t suit you, please note that Visconti is in no manner responsible for any side effects. You should carefully read the individual terms and conditions in relation to the Products and use it at your risk. 9. PRICING INFORMATION
   While Visconti strives to provide accurate Product and pricing information, pricing or typographical errors may occur. Visconti cannot confirm the price of a Product until the order is confirmed. In the event that a Product is listed at an incorrect price or with incorrect information due to an error in pricing or Product information, Visconti shall have the right, at our sole discretion, to refuse or cancel any orders placed for that Product, unless the Product has already been dispatched. In the event that an item is mispriced, Visconti may, at its discretion, either contact you for instructions or cancel your order and notify you of such cancellation. Unless the Product ordered by you has been dispatched, your offer will not be deemed accepted, and Visconti will have the right to modify the price of the Product and contact you for further instructions using the email address provided by you during the time of registration or cancel the order and notify you of such cancellation. If Visconti has to cancel the order after Visconti has processed the payment, the said amount will be reversed back to you.

11. FRAUDULENT OR DECLINED TRANSACTIONS
    Visconti reserves the right to recover all costs incurred or suffered by Visconti on account of fraudulent use of the Website including without limitation the cost of Products, collection charges, cancellation charges, delivery charges and lawyers’ fees. In the event of non-delivery of the Products with respect to any order accepted by Visconti occurs due to reasons attributable to you (i.e. Wrong name or address or any other wrong information), any extra cost incurred by Visconti for re-delivery or cancellation shall be borne and paid by you to Visconti.
    2. You will use the Products provided by Visconti for lawful purposes only.
    3. You will provide authentic and true information in all instances where such information is requested from you. Visconti reserves the right to confirm and validate the information and other details provided by you at any point in time.

    Any dispute or difference either in interpretation or otherwise, of any terms and Conditions mentioned herein between the parties hereto shall be referred to an independent arbitrator who will be appointed by Visconti and its decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. Either Party shall be entitled to apply to the competent courts for interim or interlocutory relief in respect of such arbitration. The arbitration shall be held in Mumbai.

    You agree to defend, indemnify and hold harmless Visconti, its employees, executives, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to Visconti or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfilment of any of your obligations under these Terms and Conditions or arising out of the your violation of any applicable laws, regulations including but not limited to intellectual property rights, payment of statutory dues and taxes, fraudulent transactions or other rights. You may terminate this Terms and Conditions at any time, provided that you discontinue any further use of this Website. Visconti may terminate this Terms and Conditions at any time and may do so immediately without notice, and accordingly deny you access to the Website. Such termination will be without any liability to Visconti. Upon any termination of this Terms and Conditions by either you or Visconti, you must promptly destroy all materials downloaded or otherwise obtained from this Website, as well as all copies of such materials, whether made under the Terms and Conditions or otherwise.     Visconti shall neither be liable to the other nor shall be in default if, and to the extent that, the performance or delay in performance of any of its obligations under these Terms and Conditions is prevented, restricted, delayed or interfered with due to circumstances beyond the reasonable control of Visconti or any force majeure event. These Terms and Conditions and the relationship between you and Visconti shall be governed by the laws of the India as applied to agreements made, entered into, and performed entirely in India, notwithstanding your actual place of residence. The failure of Visconti to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, you nevertheless agree that the court should endeavour to give effect to the intentions of Visconti and you as reflected in the provision, and that the other provisions of these Terms and Conditions remain in full force and effect. The Clause titles in these Terms and Conditions are for convenience only and have no legal or contractual effect. These Terms and Conditions shall remain in full force and effect notwithstanding any termination of your use of the Website. These Terms and Conditions will be interpreted without application of any strict construction in favour of or against you or Visconti. These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Visconti without restriction.
